Promoflix.ai is owned and operated by Divinus Ventures LLC, located at 3550 North Goldwater Blvd, Scottsdale, AZ 08521, USA.
By accessing or using our website, products, or services (“Services”), you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree, please do not use the Services.
1. Eligibility
You must be at least 18 years old and have legal capacity to enter into binding contracts. By using the Services, you represent that you meet these requirements.
2. Changes to Terms
We may update these Terms at any time. The date above shows the most recent revision. Continued use after updates constitutes acceptance of the revised Terms.
3. Description of Services
Promoflix.ai provides AI-assisted video creation, editing, and promotional tools that enable users to generate and analyze video content for marketing and advertising purposes. The platform may integrate with third-party systems such as analytics providers, ad networks, and social-media platforms.
4. HIIPAA DISCLAIMER
Promoflix.ai is a marketing automation and personalized video engagement platform operated by Divinus Ventures LLC (3550 North Goldwater Blvd, Scottsdale, AZ 85251). The platform is not intended for the storage, transmission, or processing of Protected Health Information (PHI) as defined by the Health Insurance Portability and Accountability Act of 1996 (HIPAA).
Users are strictly prohibited from uploading, transmitting, or otherwise providing any PHI or sensitive patient data through the Promoflix.ai platform unless a separate Business Associate Agreement (BAA) has been fully executed between the user (Covered Entity) and Divinus Ventures LLC.
By using Promoflix.ai, you acknowledge and agree that: You are solely responsible for ensuring that your use of Promoflix.ai complies with applicable privacy and data protection laws, including HIPAA, where relevant.
Unless a signed BAA is in place, Promoflix.ai operates as a non-HIPAA environment intended solely for general marketing and communication purposes.
Divinus Ventures LLC expressly disclaims any responsibility or liability for the misuse of PHI or other sensitive data uploaded or shared in violation of these Terms.
For organizations that require HIPAA compliance, Divinus Ventures LLC offers a HIPAA-Compliant Upgrade Option, which includes enhanced security measures, encryption, access controls, and a signed BAA.

5. Accounts & Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately of unauthorized access or security breaches. We reserve the right to suspend or terminate accounts that violate these Terms. Access to certain features requires a paid subscription.
6. Subscription, Payment, and Refunds
You are responsible for applicable sales, use, or similar taxes except those based on our income.
- Fees and billing cycles are described at checkout or in your plan.
- You authorize recurring charges to your payment method until canceled.
- Except where required by law, fees are non-refundable.
- We may modify pricing with notice for future billing cycles.
7. Acceptable Use
You agree not to:
- Upload or distribute content that is illegal, defamatory, obscene, or infringes others’ rights;
- Use the Services to send spam or unauthorized communications;
- Interfere with or disrupt networks, servers, or systems;
- Reverse engineer, decompile, or misuse any portion of the platform;
- Use automated scraping or bulk-data extraction tools without written permission.
8. Uploaded Content and Video Data
You retain ownership of videos and media you upload (“User Content”).
By uploading, you grant Promoflix a worldwide, non-exclusive, royalty-free license to host, process, display, and reproduce such content solely for operating and improving the Services.
You represent and warrant that you have all necessary rights and permissions for any materials you submit and that they do not infringe third-party rights.
9. AI-Generated Content
Promoflix.ai uses artificial-intelligence models to assist in video production. AI outputs are generated based on user prompts and data and may contain inaccuracies or copyrighted materials from training datasets. You are responsible for reviewing, editing, and ensuring legal compliance of AI-generated outputs before publication or distribution.
10. Third-Party Services
Our Services may integrate with or link to third-party applications (e.g., Google Analytics, Meta Pixel, YouTube API). Your use of third-party services is governed by their respective terms and privacy policies. We do not control and are not responsible for third-party content or performance.
11. Intellectual Property
All platform technology, interfaces, and trademarks are owned by Promoflix or its licensors. Except for the limited license expressly granted, no rights are transferred to you.
12. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or non-public information obtained through use of the Services.
13. Termination
We may suspend or terminate your account for violation of these Terms or misuse of the Services. Upon termination, your right to use the Services ceases immediately, and we may delete or restrict access to your data consistent with our data-retention policy.
14. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” PROMOFLIX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED.
15. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, PROMOFLIX AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, PROFITS, OR GOODWILL. OUR TOTAL LIABILITY WILL NOT EXCEED THE AMOUNT YOU PAID TO PROMOFLIX IN THE 12 MONTHS PRECEDING THE CLAIM.
16. Indemnification
You agree to defend, indemnify, and hold harmless Promoflix, its officers, employees, and affiliates from claims, damages, or expenses arising from your use of the Services, uploaded content, or violation of these Terms.
17. Governing Law & Venue
These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-laws principles.
Any dispute shall be resolved exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to their jurisdiction.
18. Severability
If any provision is found unenforceable, the remaining provisions remain in full effect.
19. Entire Agreement
These Terms, along with our Privacy Policy, form the complete agreement between you and Promoflix regarding the Services.
